Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Agensphere's website, services, and products. By accessing or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our services.

Our Services

Agensphere provides intelligent systems architecture and AI engineering services, including:

• System architecture design and implementation
• Intelligence engineering and custom AI development
• Production infrastructure deployment
• Strategic integration with existing systems

Services are provided under separate service agreements that incorporate these Terms by reference.

Founding Partner Program

Our Founding Partner Program offers early-stage companies access to our services at discounted rates in exchange for case study rights and feedback. Terms specific to this program include:

• 2-Week Prototype Guarantee: We deliver a working prototype within 2 weeks, or you receive a full refund
• Case Study Rights: We may create case studies about your project (anonymous or attributed, per agreement)
• Limited Availability: Program is limited to 10 companies
• Pricing: 50% discount off standard rates for program duration

Intellectual Property Rights

Client Ownership

Unless otherwise specified in a service agreement:

• All custom code, models, and deliverables created specifically for you are your property
• You retain full intellectual property rights to your project
• Your data remains your property at all times
• We do not claim ownership of work product delivered to you

Agensphere Property

We retain ownership of:

• Our proprietary methodologies, frameworks, and tools
• Pre-existing intellectual property
• General knowledge and expertise gained during projects
• Website content, branding, and marketing materials

Your Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Provide timely feedback and necessary access to systems
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purpose
• Not reverse engineer or attempt to extract source code from our proprietary systems

Payment and Billing

Payment terms are specified in individual service agreements. General terms include:

• Payment is due according to invoice terms (typically net 15 days)
• Late payments may incur interest charges
• Refunds are provided only as specified in service agreements or our Money-Back Guarantee
• All fees are in USD unless otherwise stated

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that services will be uninterrupted, error-free, or meet all your requirements.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENSPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to Agensphere in the 12 months preceding the claim.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship. This obligation:

• Survives termination of the service relationship
• Does not apply to information that is publicly available or independently developed
• May be supplemented by separate Non-Disclosure Agreements (NDAs)

Termination

Either party may terminate services according to the terms specified in the service agreement. Generally:

• You may terminate with written notice according to your agreement
• We may terminate immediately if you breach these Terms
• Upon termination, you pay for services rendered to date
• We will provide reasonable transition assistance as specified in agreements

Indemnification

You agree to indemnify and hold harmless Agensphere from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in courts of competent jurisdiction as specified in service agreements.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the "Last updated" date
• Sending email notification for significant changes

Continued use of our services after changes constitutes acceptance of the updated Terms.
